Terms of Service
The agreement that governs your use of ConsciousLab, including module-specific terms for Payments and Trading.
Last updated
These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs and services provided by ConsciousLab, Inc. and its affiliates ("ConsciousLab", "we", "us"). By creating an account or using the services, you agree to these Terms on behalf of yourself and, if applicable, the organisation you represent ("Customer", "you").
If you have signed an order form or master subscription agreement with us, that agreement takes precedence over these Terms where they conflict.
1. The services
ConsciousLab provides a software platform for operating autonomous systems, made up of the AI, Robotics, Payments, Analytics and Trading modules (the "Services"). Specific modules may be subject to additional terms set out in section 9.
We may change the Services from time to time. We will not materially reduce the core functionality of a paid plan during your current subscription term, and we will give at least 30 days' notice before removing a feature you rely on.
2. Accounts
You must provide accurate information when you register and keep it up to date. You are responsible for all activity under your account, including activity by members you invite, agents you configure and API keys you create. Keep credentials confidential and notify us at security@consciouslab.xyz immediately if you suspect unauthorised access.
You must be at least 18 years old and able to form a binding contract to use the Services.
3. Customer data
"Customer Data" means data you or your users submit to the Services, including events, telemetry, agent prompts and outputs, and payment and trading records. As between the parties, you own Customer Data. You grant us a limited licence to host, process and transmit Customer Data solely to provide, secure and support the Services, and as described in our Privacy Policy and Data Processing Addendum.
We do not use Customer Data, including prompts and agent outputs, to train machine learning models made available to other customers.
4. Acceptable use
You will not, and will not allow others to:
- use the Services in violation of law, including export controls and sanctions;
- attempt to gain unauthorised access to the Services or other customers' data;
- use the Services to operate weapons systems or to control equipment in a way that bypasses safety functions such as emergency stops;
- use the Payments module for prohibited businesses listed in our payments policy, or the Trading module for market manipulation, wash trading or spoofing;
- reverse engineer the Services except to the extent permitted by law;
- exceed rate limits or interfere with the integrity or performance of the Services.
We may suspend access that we reasonably believe poses a security or legal risk, and will tell you why unless we are prevented by law.
5. Autonomous actions
The Services allow you to configure agents, rules and strategies that take actions without human review. You decide which actions run unattended through policies you configure. You remain responsible for the consequences of actions taken under your policies. We provide approval gates, audit logs and kill switches to help you control autonomous actions, but they do not replace your own oversight.
6. Fees and payment
Paid plans are billed in advance on a monthly or annual basis as described on our pricing page or your order form. Usage above your plan's allowances is billed in arrears. Fees exclude taxes, which you are responsible for except taxes on our income.
If payment is more than 15 days overdue, we may suspend paid features after giving you 7 days' written notice.
7. Term and termination
These Terms continue while you use the Services. Either party may terminate a subscription at the end of the current term by giving notice through the app or in writing. Either party may terminate immediately if the other materially breaches these Terms and does not cure the breach within 30 days of notice.
On termination you may export Customer Data for 30 days, after which we delete it within a further 30 days, except where retention is required by law, including record-keeping obligations for payment and trading records.
8. Warranties and disclaimers
We warrant that the paid Services will perform materially as described in our documentation. Your exclusive remedy for breach of this warranty is for us to correct the non-conformity or, if we cannot, to terminate the affected Services and refund prepaid fees for the remaining term.
Except as expressly stated, the Services are provided "as is". We do not warrant that the Services will be error free or uninterrupted, or that AI outputs or trading signals will be accurate.
9. Module-specific terms
Payments. Payment services are provided in partnership with licensed payment institutions and e-money issuers. You must accept their terms before using Payments. Funds are safeguarded in segregated accounts as required by applicable law.
Trading. Brokerage services for live trading are provided by our broker-dealer partner, a member of FINRA and SIPC, and are subject to its customer agreement. AI signals and other market information are provided for informational purposes only and are not investment advice or a recommendation to buy or sell any security. Trading involves risk, including the loss of principal. Paper trading results do not guarantee future results.
Robotics. You are responsible for the safe operation of your devices and compliance with applicable machinery safety standards. Emergency stop functions are always forwarded to devices regardless of policy configuration.
10. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenues. Each party's total liability arising out of these Terms is limited to the fees paid or payable by you in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, breaches of section 4, or either party's indemnification obligations.
11. General
These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules, unless you are established in the European Economic Area, in which case they are governed by the laws of Germany and the courts of Berlin have jurisdiction. We may update these Terms by giving at least 30 days' notice of material changes. Questions about these Terms can be sent to legal@consciouslab.xyz.
